一、企业名称预先核准——工商局出具企业名称预核准通知书 （TEL：3821962）

（1）企业名称预先核准申请书；

（2）投资各方的开业登记证明复印件（需加盖公章）或个人投资者的身份证明复印件。

二、领取审查登记证书——开发区经贸局出具外资企业审查登记证书（TEL：3811107）

（1）企业名称预核准通知书（复印件一份）；

（2）《在中国设立外商投资企业申请表》（原件一份）；

（3）外资企业章程及附件（投资方法人签字并盖章，原件至少一式三份）；

（4）董事会和监事会成员名单、委派书（投资方法人签字、盖章）及所有成员的身份证明复印件（注明法定代表人）；

（5）外国投资者的开业登记证明（加盖公章）或身份证明，附所在国家公证机关公证及我国驻该国使领馆认证（港、澳、台地区投资者只需要公证）；

（6）投资者的银行资信证明（原件一份）

（7）法律文件送达授权委托书（原件一份）；

（8）生产经营场所证明（复印件一份）；

（9）进口物资清单（一份）；

（10）涉及法律法规规定的其它文件、证件。（合资合同、生产型项目概况及环评审查意见等）

三、领取全国组织机构代码——技术监督局出具全国组织机构代码赋码通知单

四、领取外商投资企业批准证书——开发区经贸局出具外商投资企业批准证书一套

提交全国组织机构代码赋码通知单复印件

五、办理工商登记

（1）外商投资企业注册登记申请表（工商部门领取，附有所需申报材料清单）；

（2）外资企业审查登记证书（1份）；

（3）外资企业批准证书副本（1份）；

（4）工商部门要求的其他材料。

六、项目核准——开发区经贸局出具项目核准批复（TEL：3811107）

（1）《关于申请_____项目核准的请示》（打给开发区经贸局，原件一式二份）；

（2）项目申请报告（一份，也可以项目可行性研究报告替代）；

（3）申请企业批准证书、营业执照复印件（一份）；

（4）场所证明（复印件一份）；

（5）项目环保审查意见（复印件一份）；

（6）涉及法律法规规定的其它文件、证件。

The Procedure in Establishing Foreign Investment Enterprise

1. Enterprise name pre-approval (Administration Bureau for Industry and Commerce, Tel: 3821962)

(1) The original Enterprise Name Pre-approval Application Form.

(2) The sealed Business Opening Registration Certificate of each investing party or the copy of individual investors’ ID cards. (One copy)

2. Acquire the Examination Registration Certificate of Foreign Investment Enterprise (HETDA Economy and Trade Development Bureau)

(1) The Enterprise Name Pre-approval Notification (One copy)；

(2) The Registration Application Form for Establishing A Foreign Investment Enterprise in China (One original document)

(3) Articles of Association of the foreign investment enterprise and the Appendices（original forms signed and sealed by the legal person of investors in triplicate）；

(4) The name list and power of attorney of the board of directors board of supervisors signed and sealed by the legal person of investors and the copies of the ID cards of all the members (identifying the legal person)

(5) The sealed Business Opening Registration Certificate of foreign investors, attached with notarization of the state organs, the attestation of the embassy of the foreign country and the Chinese consulate stationed in that country.（The investors from Hong Kong, Macao and Taiwan districts need notarization only.）

(6) Bank credit certificate of the investors (One original document)

(7) Authorized power of attorney delivered in legal document (One original document)

(8) Proof of the right of using a business place (One copy)

(9) List of imported materials (One copy)

(10) Other documents and certificates relating to laws and regulations (e.g. contract of joint venture, introduction to productive project and examination result on Environmental Impact Assessment)

3. Acquire the National Organizational Code—the Code Assignment Notification of National Organizational Code (from the Technological Supervision Bureau)

4. Acquire the Approval Certificate for Foreign Investment Enterprise (HETDA Economy and Trade Development Bureau)

Submit the copy of the National Organizational Code Assignment Notification

5. Industrial and Commercial registration (the Industry and Commerce Bureau)

(1) Registration Application Form for Foreign Investment Enterprise (acquired from the Industry and Commerce Bureau with a submission list of other application documents)

(2) Examination Registration Certificate for Foreign Investment Enterprise (One copy)

(3) Approval Certificate for Foreign Investment Enterprise (One copy)

(4) Other materials required by the Industry and Commerce Bureau.

6. Project approval--- (Economy and Trade Development Bureau, Tel: 3811107)

(1) Request of Applying for ______Project Approval (submitted to Economy and Trade Development Bureau, original documents in duplicate)

(2) Project Application Report (one original document, possibly substituted by Project Feasibility Research Report)

(3) Approval Certificate for Foreign Investment Enterprise and Business License (One copy for each)

(4) Proof of the right to use a place of business (One copy)

(5) Examination result on Environment Impact Assessment (One copy)

(6) Other documents and certificates relating to laws and regulations
